About the social welfare corporation under the jurisdiction of the Mayor of Inagi City

As a result of the amendment to the Social Welfare Act under the "Act on the Development of Related Laws to Promote Reforms to Enhance Local Autonomy and Independence," the jurisdiction of social welfare corporations whose main office is located in Inagi City and whose activities are within Inagi City will change from the Governor of Tokyo to the Mayor of Inagi City, effective April 1, 2013.
In conjunction with this, the Mayor of Inagi City will oversee the social welfare corporation, and Inagi City will handle matters such as establishment and approval of changes to the articles of incorporation, as well as guidance and audits.

About Guidance and Audits of Social Welfare Corporations

The Mayor of Inagi City will regularly conduct guidance and audits (on-site inspections) regarding the operational and financial status of social welfare corporations under the jurisdiction, based on Article 56 of the Social Welfare Act and related laws and notifications.
Regarding on-site inspections, they will be conducted in accordance with the "Guidelines for the Implementation of Guidance and Audits for Social Welfare Corporations (Notification from the Director on April 27, 2017)" and the audit items will be based on the legal and notification grounds for judgment, confirmation items when making judgments, points of focus during confirmation, and criteria for pointing out will be based on the "Guidelines for Guidance and Audits" attached to the same notification.

About the authorization procedures for social welfare corporations

Application Form for Approval of Amendment to Articles of Incorporation

When a social welfare corporation seeks approval for changes to its articles of incorporation, it submits the application form for approval of changes to the articles of incorporation and the necessary attached documents to the competent authority (Mayor of Inagi City).
In Inagi City, we will review the application details and conduct necessary investigations, and grant approval for the amendment of the articles of incorporation.
Please be aware that amendments to the articles of incorporation will not take effect without the approval of the competent authority.
In addition, if the changes to the articles of incorporation pertain to changes in the registered items of the social welfare corporation, the registration of the changes must be promptly made at the registration office after approval.

Notification of Articles of Incorporation Amendment

In order to simplify and expedite the administrative procedures related to the amendment of the articles of incorporation of social welfare corporations, if it falls under the following items for the amendment notification, it is sufficient to notify the competent authority (Mayor of Inagi City).
If you need to change both items that can be addressed with a notification of changes to the articles of incorporation and items that require an application for approval of changes to the articles of incorporation at the same time, you can submit a single application for approval of changes to the articles of incorporation that includes the notification items.

Notification of Articles of Incorporation Amendments

  1. When the location of the corporate headquarters is relocated (changed)
  2. When the principal assets (land, buildings, and cash) increase
  3. When changing the method of announcement

When a social welfare corporation submits a Notification of amendment to its articles of incorporation, it must submit the Notification of amendment and the necessary attached documents to the competent authority (Mayor of Inagi City).
Inagi City will conduct the necessary investigation regarding the contents of the articles of incorporation amendment notification and accept it.

Application Form for Approval of Disposal of Basic Assets

When a social welfare corporation disposes of its basic assets, it must submit an Application Form for Approval of Disposal of Basic Assets and the necessary attached documents to the competent authority (Mayor of Inagi City) in advance and obtain approval. In Inagi City, we will conduct an examination and investigation of the application content and grant approval for the disposal of basic assets.
Furthermore, the disposal of the basic property cannot be carried out without obtaining approval from the competent authority.
Since the principal assets are matters listed in the articles of incorporation, disposing of the principal assets will require a change to the articles of incorporation. Therefore, it is necessary to obtain the approval of the Mayor of Inagi City and promptly carry out the procedures for amending the articles of incorporation after disposing of the relevant assets.
